Terms of Service

Last updated: October 14, 2026

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Tracview ("TracView", "we", "us") and govern your use of the TracView customer-success platform, website and related services (the "Service").

If you use the Service on behalf of a company or other organization, you agree to these Terms for that organization and confirm you have authority to do so; "you" then means that organization. If you do not agree, do not use the Service.

If you and TracView have signed a separate order form or master agreement, that agreement controls where it conflicts with these Terms.

2. Accounts

You must provide accurate information when you create an account and keep it up to date. You are responsible for all activity under your organization's accounts and for keeping sign-in credentials secure. Tell us promptly at the address below if you suspect unauthorized access.

Organization administrators control who can access their workspace and with what role. You must be at least 18 years old to use the Service.

3. Your data

You keep all rights to the data you or your users enter, import or sync into the Service, including data from connected integrations such as your CRM or mailbox ("Customer Data"). You grant us a limited license to host, process and display Customer Data only as needed to provide, secure and support the Service.

We process Customer Data as described in our Privacy Policy and, where applicable, our Data Processing Agreement. We do not sell Customer Data and do not use it to train AI models.

You are responsible for having the rights and any notices or consents needed to put Customer Data into the Service, including data about your own customers and their contacts.

4. Connected services and email sending

The Service can connect to third-party services you choose, such as Google Workspace and CRMs. Your use of those services is governed by their own terms. When you connect a mailbox, you authorize the Service to read the messages its features need and to send emails on your behalf, including emails sent by Playbooks you configure.

You are responsible for the content of emails sent through the Service and for complying with applicable anti-spam and marketing laws.

5. Acceptable use

You agree not to: use the Service to send unsolicited bulk email or unlawful content; attempt to access another organization's data; probe, scan or test the Service's security without our written permission; reverse engineer the Service except where law allows; interfere with its operation; or resell the Service without our agreement.

We may suspend access that we reasonably believe violates this section or puts the Service or other customers at risk, and will tell you when we do unless the law or the risk prevents it.

6. Fees and payment

Paid plans are billed in advance for the subscription term shown at purchase or in your order form. Fees are non-refundable except where required by law or stated otherwise in writing. Subscriptions renew automatically for the same term unless either party gives notice before renewal.

We may change prices for a renewal term with at least 30 days' notice. Fees exclude taxes, which you are responsible for.

7. Our intellectual property

TracView owns the Service, including its software, design and documentation. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

If you send us feedback or suggestions, we may use them without obligation to you.

8. AI features

Some features use AI models to classify information, such as the sentiment of an email. AI output can be wrong; review it before relying on it for important decisions. Email text is redacted before it is sent to an AI model, as described in our Privacy Policy.

9. Confidentiality and security

Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including encrypted backups stored in a separate region.

10. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. Either party may terminate for the other's material breach that is not cured within 30 days of written notice.

You can export Customer Data from the Service while your subscription is active. We delete Customer Data within 30 days of the end of a subscription, and from backups as they expire, within 365 days, as our Privacy Policy describes.

11. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Health scores, alerts and recommendations are aids to your judgment, not guarantees of customer outcomes.

12. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability arising out of these Terms is limited to the amounts you paid us for the Service in the 12 months before the claim.

These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.

13. Indemnity

You will defend and indemnify TracView against third-party claims arising from Customer Data or your use of the Service in violation of these Terms. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.

14. Changes to these terms

We may update these Terms. If a change is material, we will notify account administrators by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. The state and federal courts in Hennepin County, Minnesota have exclusive jurisdiction, and each party consents to them.
